SERVICES

Effective Date: 25 May 2025

1. Introduction

Welcome to Ilhami Advisory Services Sdn Bhd (“we,” “us,” “our”). These Terms of Services (“Terms”) govern your use of our virtual Chief Financial Officer (CFO) services (“Services”) provided through our website (www.ilhami.my) or any other platform.

By engaging our Services, you (“Client,” “you,” “your”) agree to comply with these Terms. If you do not agree, please refrain from using our Services.

2. Scope of Services

Ilhami provides virtual CFO services, including but not limited to:

Financial strategy & planning
Cash flow management
Budgeting & forecasting
Financial reporting & analysis
Business advisory
Compliance & regulatory support
Fundraising and Valuation
Corporate and M&A advisory
Other related financial consulting services

The exact scope of work will be outlined in a separate Service Agreement or Statement of Work (SOW).

3. Client Responsibilities

To ensure effective service delivery, you agree to:

Provide accurate, complete, and timely financial information.
Grant necessary access to financial systems (e.g., accounting software, bank statements).
Respond promptly to queries and requests for information.
Ensure compliance with Malaysian tax (LHDN) and financial regulations.

4. Fees & Payment Terms

Fees will be as per the agreed Service Agreement (monthly retainer or project-based).
Invoices are payable within 14 days of issuance unless otherwise stated.
All fees are in MYR (Malaysian Ringgit) and exclude applicable taxes (e.g., SST).

5. Confidentiality & Data Protection

We adhere to strict confidentiality regarding your financial and business information.
Data will be processed in accordance with Malaysia’s Personal Data Protection Act (PDPA) 2010.
We implement reasonable security measures but cannot guarantee absolute security in digital transmissions.

6. Limitation of Liability

Our Services are advisory in nature. We do not provide audit, legal, or guaranteed financial outcomes.
Ilhami shall not be liable for any indirect, consequential, or punitive damages arising from the use of our Services.
You remain responsible for final financial decisions and compliance with laws.

7. Termination

Either party may terminate the engagement with 30 days’ written notice.
Upon termination, all unpaid fees become due immediately.
Confidentiality obligations survive termination.

8. Intellectual Property

Reports, templates, and materials provided remain our intellectual property unless otherwise agreed.
You may use deliverables solely for internal business purposes.

9. Governing Law & Dispute Resolution

These Terms are governed by Malaysian law.
Any disputes shall first be resolved amicably; unresolved disputes shall be settled in the courts of Malaysia.

10. Amendments

We may update these Terms periodically. Continued use of our Services constitutes acceptance of the revised Terms.
